1. Introduction

Welcome to SupaScripts.com, an online platform owned by the Emerge Story Company, based in Nigeria. This User Agreement outlines the terms and conditions governing your use of our services. By accessing or using our website and services, you acknowledge that you have read, understood, and agree to comply with, and be bound by, the following terms and conditions. "User": Refers to any individual or entity using the Platform.
"Seller": Refers to screenwriters and/or individuals who own and/or list screenplays for sale on the Platform.
"Buyer": Refers to directors, producers, and/or any other individuals/entities who purchase screenplays on/from the Platform.
"Content": Refers to any material uploaded, posted, or otherwise made available on the Platform, including but not limited to screenplays, reviews, comments, and profiles.

3. User Accounts and Responsibilities

Account Creation: To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process, and to update such information to keep it accurate, current, and complete.
Account Security: You are responsible for maintaining the confidentiality of your account information and password. You agree to notify us immediately of any unauthorised use of your account. SupaScripts.com is not liable for any loss or damage arising from your failure to comply with these obligations.
Eligibility: By using the Platform, you represent and warrant that you are at least 13 years old and capable of entering into legally binding agreements

4. Use of the Platform

Permitted Use: You may use the Platform for lawful transactional, interactional, and collaborative purposes only. You agree not to use the Platform in any way that violates any applicable local, national, or international law or regulation. You also agree not to use the Platform in any way that can or will disable, overburden, or impair the Platform, or interfere with any other party's use of the platform.
Prohibited Activities: You agree not to:

Engage in any fraudulent activity.
Post or transmit any content that is defamatory, obscene, offensive, or otherwise objectionable.
Infringe on the intellectual property rights of others.
Interfere with or disrupt the Platform or its services.

5. Content Standards

All content you submit must be your own original work and you must exclusively own or claim legal rights to the Intellectual Property. Such work must not infringe on any third-party rights, and you are solely responsible for the content you post on the Platform.

6. Transactions

Listing Screenplays: Sellers may list screenplays for sale on the Platform. By listing a screenplay, you represent and warrant that you have the right to sell it and that it complies with all applicable laws and regulations.
Purchasing Screenplays: Buyers may purchase screenplays listed on the Platform. All purchases are final, and refunds are subject to our refund policy. It is the Buyer's responsibility to review the screenplay description and terms of sale before making a purchase.
c. Payment: All payments are processed through secure third-party payment processors. You agree to pay all fees and charges associated with your transactions on the Platform.

7. Intellectual Property

Ownership: The Platform and its original content, features, and functionality are owned by and will remain the exclusive property of the Emerge Story Company and its licensors, and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws of Nigeria and foreign countries. Licence: By posting content on the Platform, you grant SupaScripts.com a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and distribute your content in connection with the Platform and the promotion of the Platform.

8. Limitation of Liability

To the fullest extent permitted by law, the Emerge Story Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

Your use of or inability to use the Platform.
Any unauthorised access to or use of our servers and/or any personal information stored therein.
Any interruption or cessation of transmission to or from the Platform.
Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Platform by any third party.
Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Platform.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Emerge Story Company, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform or your violation of these Terms.

10. Termination

We may terminate or suspend your account and access to the Platform at our sole discretion, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Platform shall be resolved exclusively in the courts of Nigeria.

12. Changes to Terms and Conditions

We reserve the right to modify or replace these Terms at any time. We will notify you of any changes by posting the new Terms on our website and effecting the correct date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
